Terms of Service
These Terms (“Terms”) govern access to and use of the QognyX platform and website (“Services”) by professional customers and authorized users.
1. Scope & Agreement
By accessing or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent (“Customer”). If you do not agree, do not use the Services.
2. Eligibility & Accounts
The Services are for professional use. Users must be at least 18 years old and authorized by the Customer. You are responsible for safeguarding credentials and all activity under your account.
- Keep credentials confidential and use strong authentication where available.
- Notify us promptly if you suspect unauthorized access.
3. Services & Changes
QognyX provides an auditable expert platform (reasoning workflows, knowledge structuring, retrieval, deliverable generation). Features may evolve over time.
We may update the Services to improve performance, security, or compliance. If a change materially reduces functionality for paid customers, we will provide reasonable notice when practicable.
4. Acceptable Use
You agree not to misuse the Services. Prohibited activities include:
- Attempting unauthorized access, probing, scanning, or exploiting vulnerabilities.
- Reverse engineering, scraping, or extracting source code except as permitted by law.
- Uploading malicious content, illegal materials, or infringing content.
- Using the Services to develop competing products using non-public information.
5. Customer Data & Ownership
Customer retains all rights to Customer Data (documents, procedures, notes, and inputs) uploaded to the platform. You grant QognyX a limited right to process Customer Data solely to provide and secure the Services.
6. Security & Confidentiality
Each party must protect the other party’s confidential information using reasonable safeguards. QognyX implements technical and organizational measures designed to protect Customer Data against unauthorized access, loss, or disclosure.

7. Fees & Payment
Fees and billing terms are defined in the applicable Order Form, quote, or invoice. Unless otherwise stated, invoices are payable within thirty (30) days.
- Late payments may result in suspension after notice.
- Taxes are the Customer’s responsibility, excluding QognyX income taxes.
8. Intellectual Property
QognyX retains all rights to the Services, software, trademarks, and documentation. Customer receives a limited, non-exclusive right to use the Services during the subscription term for internal business purposes.
9. Disclaimers
The Services are provided “as is” and “as available”. QognyX disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, QognyX will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities.
QognyX’s total liability arising out of or related to the Services will not exceed the fees paid by Customer to QognyX in the twelve (12) months preceding the event giving rise to the claim.
11. Term, Suspension, Termination
These Terms apply while you access or use the Services. We may suspend access for security reasons, legal compliance, or material breach. Either party may terminate a paid agreement as described in the Order Form / MSA.
- Upon termination, access to the Services ends.
- Outstanding fees remain payable.
12. Governing Law
Governing law and venue are defined in the applicable Order Form / MSA. If no such document exists, the governing law will be specified in the final commercial agreement or invoice.
